Terms of Service

1. Application

These Terms of Service ("Terms") set out the conditions for using the AccuNote voice-note application and its related cloud services (collectively, the "Service") provided by SEIWA Co., Ltd. ("we", "us"). You agree to these Terms before using the Service, and you are deemed to have agreed to them upon using the Service.

2. Definitions

1. Service: the AccuNote voice-note application and related services provided by us.
2. User: an individual or entity that uses the Service in agreement with these Terms.
3. Guest: a user who uses the Service without registering an email address.
4. User Content: recordings, transcripts, translations, summaries, marks, attachments, custom vocabulary, and other content that a user creates or stores through the Service.
5. Subscription: a paid plan of the Service.

3. Account Registration and Sign-in

You may use the Service by signing in with an email verification code, or by third-party sign-in with an Apple, Google, or Microsoft account. You may also use the Service as a guest without registering an email address, and later upgrade to a registered account.

You are responsible for properly managing your authentication credentials and must not allow third parties to use them, or lend or transfer them. We are not liable for any damage arising from inadequate management of credentials or their use by a third party.

4. Subscriptions and Billing

4.1 Plans

The Service offers a free plan (Free) and paid plans (such as Pro). Details of the features and usage quotas (such as the maximum speech-recognition time) available under each plan are published within the Service or on our website.

4.2 Billing

Subscriptions are purchased and paid for through the Apple App Store or Google Play in-app purchase systems. Prices, billing timing, and auto-renewal terms follow what is displayed on the respective platform at the time of purchase.

4.3 Auto-renewal, cancellation, and refunds

Subscriptions renew automatically unless you cancel before the end of the current period. Cancellation and refund procedures and conditions are governed by the rules of the platform used for the purchase (App Store / Google Play).

5. User Content and Intellectual Property

Rights to User Content belong to the user or the rightful owner. You grant us a license to store, reproduce, and process User Content (including speech recognition, translation, summarization, speaker diarization, sync, and the operation of sharing features) to the extent necessary to provide, maintain, and improve the Service.

Intellectual property rights in the Service and its related software and technology belong to us or our licensors. The license under these Terms does not constitute an assignment or license of those intellectual property rights.

6. Prohibited Conduct

In using the Service, you must not engage in the following:

1. Violating laws or public order and morals
2. Conduct related to criminal activity
3. Infringing the intellectual property, privacy, reputation, or other rights or interests of us, other users, or third parties
4. Unauthorized access to content you are not permitted to access, or impersonating others
5. Placing an excessive load on the Service's network or systems, or unauthorized access
6. Interfering with the operation of the Service
7. Providing benefits to or otherwise being involved with antisocial forces
8. Other conduct that we deem inappropriate

7. Provision, Change, and Suspension of the Service

We may change, suspend, or discontinue all or part of the Service without prior notice in the event of system maintenance, failures, force majeure, or other unavoidable circumstances. We are not liable for any damage arising therefrom, except as otherwise provided in these Terms.

8. Disclaimer of Warranties and Limitation of Liability

We are not liable for any damage incurred by users in connection with the Service. However, this disclaimer does not apply where the contract between us and the user constitutes a consumer contract under the Consumer Contract Act of Japan. Even in such cases, we are not liable for special damages arising from special circumstances, resulting from our non-performance or tort (excluding gross negligence).

9. Usage Restrictions and Termination of Registration

If you violate these Terms or in other cases we deem necessary, we may, without prior notice, restrict your use of the Service or terminate your registration. We are not liable for any damage arising therefrom.

10. Cancellation, Withdrawal, and Data Deletion

You may withdraw from the Service and delete your account at any time. Upon account deletion, User Content is deleted in accordance with the Service's Privacy Policy. The handling of paid plans after withdrawal follows the rules of the respective platform.

11. Changes to These Terms

We may amend these Terms as necessary. When we do, we will announce the amended content and its effective date by posting within the Service or on our website, or by other appropriate means. If you use the Service after the effective date, you are deemed to have agreed to the amended Terms.

12. Notices and Communication

Notices or communications between users and us shall be made by the means we designate. We will treat the contact details provided by the user as valid and communicate accordingly.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the court having jurisdiction over the location of our head office.
